Residential Securitization

As agent, we provide complete transaction management services for private, Fannie Mae and Freddie Mac securitizations. We perform comprehensive data analysis to identify the maximum potential securitizable universe, create a detailed timeline and action plan, and create and execute a custom loan review. If applicable, we may also:

  • Structure an optimal pooling or cash structure
  • Assist with contract negotiations
  • Deliver loan data
  • Provide a servicing setup data file

Whole Loan Sales

As broker, we provide complete transaction management services for whole loan sales of performing, sub-performing and non-performing loans for all loan or lease types and any collateral form. We collaborate with our clients to identify the loans that, when sold, will create the most effective transaction for the desired balance sheet effect. We perform rigorous analysis to identify the pool of loans to sell, make recommendations for loan file due diligence preparation, create a bid file, prepare marketing material, execute the bid process, assist with bid assessment and transaction closing documents, and provide a funding detail.

Servicing Sales

As broker, we provide a full range of transaction management services. We begin by providing a potential range of value under the most current market environment to equip our clients with immediate options regarding the potential sale of the MSR asset versus other strategic options. Sales services include preparing the marketing material and the bid data file; executing the bid process; assisting with bid assessment; providing third-party service providers for assignment preparation and recording; assisting with regulatory notification requirements; and assisting with transaction closing documents.

Valuations

As advisor, we provide valuations for loan and servicing portfolios using the guidance of SFAS 107, 157, 140, 141R, and SOP 03-3. We are typically engaged to provide one or more of these valuation services based on the reporting requirements or business opportunity of our clients. Our valuation services are frequently relied upon for M&A transactions, including FDIC-assisted bids, and assisting in establishing the capital amount threshold for capital raising transactions. Lastly, using our proprietary model, we can provide static life-of-loan cumulative loss analysis as a standalone valuation.

Brokered CD Trades

As broker, our services include the placement of brokered CDs in secondary market transactions (versus new issue or primary brokered CD transactions). The secondary market for brokered CDs is not as efficient as primary transactions, and Sandler O'Neill is conversant with the dynamics associated with soliciting interest and assigning these liabilities. Given the approval and transaction related requirements of assigning brokered CDs (both callable and non-callable), Sandler O'Neill can help clients successfully navigate this process.

CRA Products

Community development has been the focus of the CRA group within Sandler O’Neill Mortgage Finance for almost 13 years. We have provided over $3.0 billion in liquidity and market solutions for our financial institutions to help them satisfy their community development obligations in the form of tax credit projects and securities transactions. Our focus has been the placement of securities collateralized by loans to low- and moderate-income borrowers, GNMA project loan placements and tax credit investments.
